Billing, Cancellation & Refund Policy
1. Introduction & scope
This Billing, Cancellation and Refund Policy (“Policy”) governs the fees, billing, cancellation and refunds for the BiVelio subscription services provided by BiVelio Inc, a corporation incorporated in Delaware (United States) (“BiVelio”, “we”).
This Policy applies to business customers only (B2B) and is incorporated into, and governed by, the BiVelio Terms of Service (“Terms”). Capitalized terms not defined here have the meaning given in the Terms. In the event of conflict, the order of precedence is: Order Form › Terms › this Policy.

2. Definitions
Fees — The amounts set out on the applicable pricing page or Order Form for access to the Service.
Billing Cycle — The recurring period (monthly or annual) for which Fees are charged in advance.
Renewal Term — Each successive period, of the same length as the initial term, for which the subscription renews unless cancelled.
Customer — The business or professional that subscribes to the Service for purposes related to its trade or activity.
3. Fees & billing
Fees are set out on the applicable pricing page or the relevant Order Form and are charged in advance at the start of each Billing Cycle to the payment method on file.
Payments are processed through our payment provider (Stripe). By subscribing, the Customer authorizes BiVelio (via that provider) to charge the applicable Fees on a recurring basis. The primary billing currency is US Dollars (USD).
We offer monthly and annual billing. Annual plans are paid in full in advance and provide access for twelve (12) months, normally at a discount to the equivalent monthly rate.
4. Taxes & VAT
All Fees are exclusive of VAT, sales and other taxes, which are the Customer’s responsibility.
For EU business customers who supply a valid VAT identification number (validated via VIES), the reverse-charge mechanism applies under Article 196 of EU VAT Directive 2006/112/EC, and the Customer self-assesses any VAT due. Andorra and other non-EU territories fall outside EU VAT scope and may carry local indirect taxes (e.g. Andorran IGI), for which the Customer is responsible.
5. Automatic renewal
Unless cancelled before the renewal date, the subscription renews automatically for successive Renewal Terms of the same length, at the then-current Fees.
The renewal amount and frequency are disclosed at checkout, and the Customer gives express consent to recurring billing.
6. Price changes
BiVelio may change the Fees with effect from the start of the next Renewal Term, on at least thirty (30) days’ prior notice.
Continued use after the change takes effect constitutes acceptance. If the Customer does not agree, its remedy is to cancel before renewal.
7. Upgrades, downgrades & proration
Upgrades take effect immediately: the Customer is charged the new plan price less a prorated credit for the unused time on the prior plan.
Downgrades take effect at the end of the current Billing Cycle, are not prorated or refunded, and may result in the loss of features or capacity.
8. Cancellation
The Customer may cancel at any time via self-service in the account settings. Cancellation stops future charges; access continues until the end of the paid-through period (it is not immediate), and no further Fees are charged after the current term ends.
BiVelio will send a cancellation confirmation.
9. Refunds
Except where required by mandatory applicable law or expressly stated in an Order Form, Fees are non-refundable, and BiVelio does not refund unused time on cancellation.
As a good-faith exception, on monthly self-serve plans we offer a fourteen (14) day money-back guarantee on the first purchase: if you request a refund within 14 days of that first purchase and cancel the account, we will refund that month’s payment.
Annual or prepaid plans are non-refundable and are not prorated on mid-term cancellation. BiVelio may, at its discretion and as a courtesy, grant service credits, which carry no right to a cash refund.
Refund requests go to billing support (support@bivelio.com). Approved refunds are returned to the original payment method within approximately five (5) to ten (10) business days.
10. Free trial
Where offered, the free trial lasts fourteen (14) days and requires no credit card. At the end, the trial expires with no charge and does not auto-convert to a paid plan: it is the Customer who decides whether to subscribe.
Trials are provided “as is”, without warranties. BiVelio does not offer a permanent free tier.
11. Failed payments, dunning & suspension
If a charge fails, BiVelio will retry the payment and notify the Customer. After a grace period of approximately seven (7) days (with a warning around day five), access may be suspended and, on continued non-payment, the subscription may be terminated.
Retention or deletion of data following suspension or termination is governed by the Terms. Access is restored on successful payment.
12. Chargebacks & payment disputes
Before initiating a payment dispute, the Customer must contact BiVelio billing support. A chargeback on a legitimately owed amount is a breach of the Terms; BiVelio may suspend the account, recover the disputed amount plus dispute fees, and require prepayment going forward.
Nothing above requires the Customer to waive its right to dispute a charge with its card issuer.
13. Mandatory local law
This Policy applies except where the mandatory local law of the Customer’s jurisdiction provides otherwise. Nothing here limits any non-waivable statutory rights the Customer may have.
14. Changes to this Policy
BiVelio may update this Policy using the same amendment and notice mechanism set out in the Terms. The current version governs, dated as “Last updated” above.
15. Governing law, disputes & order of precedence
This Policy is governed by the laws of the State of Delaware (United States), and disputes are resolved as set out in the Terms (arbitration administered by the American Arbitration Association).
In the event of conflict, the order of precedence is: Order Form › Terms of Service › this Policy.
