1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and C5S Technology Limited, a company incorporated in Hong Kong ("Company," "we," "us," or "our"), operating the BiVelio platform. Our European operations are managed through our holding entity, Chronos Technology SLU, registered in Andorra.
By creating an account, accessing, or using BiVelio (the "Service"), you agree to be bound by these Terms, our Privacy Policy, and our GDPR Policy. If you do not agree, do not use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Description of Service
BiVelio is a Software-as-a-Service (SaaS) platform that provides:
- AI Agent Management: Creation, configuration, and deployment of AI-powered agents for customer interaction and business process automation.
- Multi-Channel Communication: Unified inbox supporting WhatsApp, email, Telegram, web chat, voice, and other channels.
- Workflow Automation: Visual workflow builder with approval chains, SLA management, and form-based processes.
- Data Management: Structured datasets with custom fields, views, and role-based access control.
- Integration Hub: Connectors to third-party services including CRMs, payment processors, calendars, and more.
- Governance & Compliance: Audit logging, agent policies, spec versioning, and compliance center.
3. Account Registration
- You must provide accurate, current, and complete information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must notify us immediately of any unauthorized use of your account.
- You may not share your account credentials or allow others to access your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
- Each organization must designate at least one administrator responsible for managing users and permissions.
4. Subscription Plans and Payment
4.1 Plans
The Service is offered under various subscription plans as described on our website. Plan features, pricing, and limits may change with prior notice.
4.2 Billing
- Subscriptions are billed in advance on a monthly or annual basis.
- All fees are non-refundable unless otherwise stated or required by applicable law.
- We reserve the right to change pricing with 30 days' prior written notice.
- Payment processing is handled by Stripe, Inc. Your use of payment services is subject to Stripe's terms.
4.3 Credits and Usage
Certain features, including AI processing and API calls, consume credits. Credit usage and limits are defined by your subscription plan. Exceeding your plan's credit allocation may result in service throttling or additional charges.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights.
- Send unsolicited communications (spam) or engage in harassment.
- Distribute malware, viruses, or other harmful software.
- Attempt to gain unauthorized access to the Service or its infrastructure.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to compete with or replicate the Service.
- Upload, process, or store content that is illegal, defamatory, obscene, or infringes intellectual property rights.
- Use AI agents to impersonate real individuals without their consent.
- Circumvent usage limits, rate limits, or security measures.
- Use the Service for high-risk activities where failure could lead to death, personal injury, or environmental damage.
6. Intellectual Property
6.1 Our IP
The Service, including its software, design, logos, trademarks, and documentation, is the exclusive property of C5S Technology Limited, protected by intellectual property laws in Hong Kong and internationally. BiVelio and related marks are registered trademarks of C5S Technology Limited.
6.2 Your Content
You retain all rights to the data, documents, and content you upload or create through the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive license to process, store, and display your User Content solely to provide the Service.
6.3 Feedback
Any feedback, suggestions, or ideas you provide regarding the Service may be freely used by us without obligation to you.
7. AI-Specific Terms
- AI Output: AI-generated content and responses are provided "as is." You are responsible for reviewing and validating all AI outputs before acting on them.
- No Guarantee of Accuracy: AI agents may produce inaccurate, incomplete, or biased responses. We do not guarantee the accuracy of AI outputs.
- Data Processing: Your data used for AI processing within BiVelio is not used to train or improve third-party AI models.
- Human Oversight: You agree to maintain appropriate human oversight of AI agents, particularly in customer-facing scenarios.
- Compliance: You are responsible for ensuring your use of AI features complies with applicable laws, including the EU AI Act where applicable.
8. Third-Party Integrations
The Service allows integration with third-party platforms. Your use of these integrations is subject to the respective third party's terms of service. We are not responsible for:
- The availability, accuracy, or reliability of third-party services.
- Data processing performed by third-party platforms.
- Changes to third-party APIs or service terms that may affect integration functionality.
9. Service Level and Availability
- We target 99.9% uptime for the Service but do not guarantee uninterrupted availability.
- Scheduled maintenance will be communicated in advance when possible.
- We are not liable for downtime caused by third-party services, force majeure events, or circumstances beyond our reasonable control.
10. Data Ownership and Portability
- You own all User Content and business data processed through the Service.
- Upon termination, you may request an export of your data in standard formats (CSV, JSON) within 30 days.
- After the 30-day period, we may delete your data in accordance with our data retention policy.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.
- We disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Our total liability for any claims arising from or related to the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
12. Indemnification
You agree to indemnify, defend, and hold harmless C5S Technology Limited, Chronos Technology SLU, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of the Service in violation of these Terms.
- Your User Content or data.
- Your violation of applicable laws or third-party rights.
13. Termination
- You may cancel your subscription at any time through the Service settings.
- We may suspend or terminate your access for violation of these Terms, with or without prior notice.
- Upon termination, your right to use the Service ceases immediately.
- Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes arising from these Terms shall be resolved through:
- Negotiation: The parties shall first attempt to resolve disputes through good-faith negotiations for 30 days.
- Mediation: If negotiation fails, disputes shall be submitted to mediation under the Hong Kong International Arbitration Centre (HKIAC) Mediation Rules.
- Arbitration: If mediation fails, disputes shall be finally resolved by arbitration under the HKIAC Administered Arbitration Rules.
For users in the European Union, nothing in this section restricts your rights under mandatory consumer protection laws of your country of residence.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the modified Terms.
16. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and GDPR Policy, constitute the entire agreement between you and us.
- Severability: If any provision is found invalid, the remaining provisions remain in full force.
- Waiver: Failure to enforce any right does not constitute a waiver of that right.
- Assignment: You may not assign your rights under these Terms without our written consent.
- Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
